NarrateIQ ("the Service") is operated by Diaz Strategic Enterprises LLC, a Virginia limited liability company ("Company," "we," "us," or "our"). By accessing, registering for, or using the Service in any manner, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and all policies incorporated by reference, including our Privacy Policy.
If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not have such authority, or if you do not agree to these Terms, you must not access or use the Service.
These Terms contain a mandatory arbitration provision and class action waiver. Please read Section 15 carefully before using the Service.
NarrateIQ is an automated reporting platform that connects to advertising APIs (including Google Ads, Meta Ads, LinkedIn Ads, and TikTok Ads) to retrieve performance data and generate AI-written narrative reports delivered via email. The Service is provided to marketing agencies and their authorized representatives.
NarrateIQ retrieves only read-only campaign performance metrics. We do not create, modify, pause, enable, delete, or otherwise interact with any advertising entities on your behalf. We are a reporting and analytics tool only.
The Service is provided for informational purposes only. Nothing in the Service or in any report constitutes financial, marketing, legal, or investment advice. You are solely responsible for all business decisions you make based on information provided through the Service.
The Service is offered on a monthly subscription basis. Subscription fees are billed in advance at the beginning of each billing period. All fees are non-refundable except where expressly required by applicable law. Partial-month cancellations do not entitle you to a prorated refund.
We reserve the right to change pricing at any time with 30 days' written notice to the email address associated with your account. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.
If a payment is not received or fails, we reserve the right to immediately suspend or terminate your access to the Service without further notice. You remain responsible for all amounts owed, including any collection costs or fees incurred.
Taxes: You are responsible for any applicable sales, use, or other taxes associated with your use of the Service. We may collect and remit such taxes as required by law.
By using the Service, you represent and warrant that: (a) you have the full legal authority to grant NarrateIQ read-only access to every advertising account you connect; (b) you have obtained all necessary consents, authorizations, and permissions from your clients and any applicable third parties prior to connecting their accounts; and (c) your use of the Service does not violate any agreement between you and your clients or any applicable law.
You are solely responsible for ensuring that connecting client accounts to NarrateIQ complies with your client contracts, any applicable platform terms of service (including Google Ads, Meta, LinkedIn, and TikTok terms), and all applicable laws.
NarrateIQ accesses advertising account data solely to generate reports as described in these Terms. We do not use your data to train AI models or share it with third parties except as described in our Privacy Policy. However, we make no representation that our AI provider (Anthropic) will never train on data submitted to their API, and you should review Anthropic's terms of service independently.
Agencies that require a signed Data Processing Agreement may review and request one via our Data Processing Agreement page.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not you authorized it. You agree to notify us immediately at ndiaz@narrate-iq.com of any unauthorized use of your account or any other breach of security.
We are not liable for any loss or damage arising from your failure to maintain the security of your account. You may not share your account with multiple individuals, resell access to the Service, or use your account to provide services to third parties who have not agreed to these Terms.
You agree not to use the Service to: (a) violate any applicable law or regulation; (b) infringe the intellectual property or privacy rights of any third party; (c) transmit any content that is unlawful, defamatory, abusive, or fraudulent; (d) attempt to gain unauthorized access to any portion of the Service or its infrastructure; (e) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service; (f) use the Service in any manner that could damage, disable, overburden, or impair the Service; (g) scrape, crawl, or use automated tools to access the Service beyond its intended functionality; or (h) use the Service to develop a competing product or service.
We reserve the right, in our sole discretion, to terminate your access to the Service immediately and without notice for any violation of this section.
Reports generated by NarrateIQ use artificial intelligence and are provided for informational purposes only. AI-generated content is not financial, marketing, legal, or business advice. NarrateIQ makes no warranties regarding the accuracy, completeness, timeliness, reliability, or fitness for a particular purpose of any AI-generated content.
AI systems can and do produce inaccurate, incomplete, or misleading outputs. You are solely responsible for independently verifying all information contained in reports before making any business, financial, or strategic decisions. Your reliance on any AI-generated report content is entirely at your own risk.
Insights and recommendations in reports are generated automatically and do not reflect the judgment of any licensed professional. If you require professional marketing, financial, or legal advice, consult a qualified professional.
NarrateIQ does not guarantee that use of the Service will result in improved advertising performance, increased revenue, reduced costs, or any other specific business outcome. The Service is a reporting and informational tool only.
Past performance data reported through the Service does not predict or guarantee future advertising results. We make no representation that any action taken based on report insights will produce the anticipated or any positive outcome.
The Service depends on third-party APIs and services, including but not limited to Google Ads, Meta Ads, LinkedIn Ads, TikTok Ads, Anthropic, SendGrid, Stripe, and Railway. These third parties have their own terms of service and privacy policies, which govern their respective services.
We are not responsible for the availability, accuracy, reliability, or performance of any third-party service. Outages, API changes, data errors, or discontinuation of any third-party service may impact the Service, and we will not be liable for any resulting failures, delays, or inaccuracies in your reports.
Third-party API platforms (Google, Meta, LinkedIn, TikTok) may revoke, limit, or change access at any time without notice. If a platform removes or restricts our API access, we cannot guarantee continued report delivery for that platform and will not issue refunds solely on that basis.
Links to or integration with third-party services do not constitute our endorsement of those services, and we assume no responsibility for their content, privacy practices, or conduct.
The Service, including its software, design, code, interfaces, processes, and documentation, is owned by Diaz Strategic Enterprises LLC and is protected by copyright, trade secret, and other intellectual property laws. These Terms do not grant you any rights in or to the Service except the limited right to use it as expressly provided herein.
You retain ownership of the advertising data you provide. You grant us a limited, non-exclusive, royalty-free license to access and process that data solely to provide the Service to you.
The NarrateIQ name, logo, and all related trademarks are the property of Diaz Strategic Enterprises LLC. You may not use our trademarks without our prior written consent.
No advice or information, whether oral or written, obtained from us or through the Service will create any warranty not expressly stated in these Terms. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.
The limitations in this section apply regardless of whether the claim is based on breach of contract, tort (including negligence), strict liability, or any other legal theory, and regardless of whether we have been advised of the possibility of such damages.
If you are dissatisfied with the Service or these Terms, your sole and exclusive remedy is to discontinue your use of the Service and cancel your subscription.
You agree to defend, indemnify, and hold harmless Diaz Strategic Enterprises LLC and its members, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third-party right, including intellectual property rights or privacy rights; (e) your connecting of any advertising account without proper authorization; (f) any claim by your clients arising from your use of the Service; or (g) any content or data you provide to or through the Service.
We reserve the right to assume exclusive control of the defense and settlement of any matter subject to indemnification by you, at your expense. You agree to cooperate with our defense of such claims and not to settle any matter without our prior written consent.
We will not be liable or considered in breach of these Terms for any failure or delay in performance of the Service caused by circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, riots, labor disputes, internet or telecommunications outages, cyberattacks, third-party API outages or changes, government actions, power failures, or changes in applicable law or regulations.
In the event of a force majeure condition, we will use commercially reasonable efforts to resume performance as soon as practicable. Force majeure events do not entitle you to a refund of any paid subscription fees.
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.
Informal Resolution. Before initiating formal dispute proceedings, you agree to first contact us at ndiaz@narrate-iq.com and describe the nature and basis of your claim in writing. We will try in good faith to resolve the dispute informally within 30 days. If we cannot resolve the dispute informally, you or we may proceed to binding arbitration as described below.
Binding Arbitration. Except for claims that qualify for small claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including disputes about the validity, enforceability, or scope of this arbitration provision, will be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be conducted in Winchester, Virginia, or, at either party's election, by video conference. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.
Class Action Waiver. YOU AND DIAZ STRATEGIC ENTERPRISES LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If a court finds this class action waiver unenforceable, then the entirety of this arbitration section will be null and void.
Jury Trial Waiver. TO THE EXTENT ANY CLAIM PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL.
Time Limitation. Any claim arising out of or relating to these Terms or the Service must be brought within one (1) year of the event giving rise to the claim. Claims not brought within this period are permanently barred.
Either party may terminate the subscription at any time. Upon your cancellation, your access to the Service will end at the close of the current billing period. No refunds will be issued for the remainder of any billing period.
We may terminate or suspend your access to the Service immediately and without notice for: (a) any material or repeated violation of these Terms; (b) conduct we reasonably believe exposes us or others to liability; (c) required by law or at the direction of law enforcement; or (d) any other reason in our sole discretion.
Upon termination for any reason, the following sections of these Terms will survive: Sections 7, 8, 10, 11, 12, 13, 15, 20, and 21.
If NarrateIQ discontinues the Service entirely, we will provide at least 30 days' written notice to the email address associated with your account. During that notice period, you may export your stored report history and account data in standard formats (PDF, CSV, or JSON) at no charge.
Any unused, prepaid subscription fees for the period after the Service stops being available will be refunded on a pro-rata basis. All client performance data we hold on your behalf will be permanently deleted within 30 days of the Service shutting down, consistent with our Privacy Policy.
For Agency tier subscribers, NarrateIQ commits to delivering each scheduled weekly report by 9:00am in your account's configured timezone. If a report is delayed past that time due to an issue on our end (not an outage of a third-party API, ad platform, email provider, or any other event outside our control), that client's pro-rated share of that billing period is credited to your account. Credits are your sole remedy for report delivery delays.
Priority support for Agency tier means email replies within 1 business day, versus our standard 2 business day response time on other plans.
This service level commitment does not constitute a warranty and credits are your exclusive remedy for any service delivery failure. We do not guarantee any specific uptime percentage.
We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes, we will notify you by email to the address associated with your account at least 14 days before the changes take effect, or by posting a notice on the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the new Terms.
It is your responsibility to review these Terms periodically. If you do not agree to any revised Terms, you must stop using the Service before the effective date of the changes.
These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions, and without regard to the United Nations Convention on Contracts for the International Sale of Goods. For any claim not subject to arbitration under Section 15, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Virginia and waive any objection to venue or jurisdiction in those courts.
Entire Agreement. These Terms, together with our Privacy Policy and any other policies incorporated by reference, constitute the entire agreement between you and Diaz Strategic Enterprises LLC regarding the Service and supersede all prior and contemporaneous agreements, representations, and understandings.
Severability. If any provision of these Terms is found invalid or unenforceable by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
No Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Diaz Strategic Enterprises LLC.
Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms without restriction. These Terms will bind and benefit the parties and their permitted successors and assigns.
No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.
Relationship of Parties. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between the parties.
Notices. All notices from you to us must be sent to ndiaz@narrate-iq.com. Notices from us to you will be sent to the email address associated with your account.
